1. Acceptance of Agreement

This Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User," "Seeker," "Provider," or "Merchant") and Dibbs Technologies Inc. ("Company," "Dibbs," "we," "us," or "our"), a corporation organized under the laws of the Republic of the Philippines. By downloading, registering, accessing, or utilizing the Dibbs mobile application or associated services (collectively, the "Platform"), you acknowledge that you have read, understood, and agreed to be bound by all terms contained herein. If you do not agree, cease accessing the Platform immediately.

2. Eligibility & Age Requirement

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and capable of forming a legally binding contract to register for or use the Platform. By creating an account, you represent and warrant that you meet this age requirement and that all registration information you provide is truthful and accurate. Accounts created by anyone below eighteen (18) are prohibited and may be suspended or terminated. If we learn we have collected personal information from a person under the required age, we will delete it.

3. Scope of Services & Intermediary Status

  • Platform Functionality: Dibbs operates an online digital multi-service marketplace connecting independent service providers, freelancers, venue operators, dining establishments, and commercial entities ("Service Providers") with users seeking services, rentals, or reservations ("Service Seekers").
  • Intermediary Status (RA 11967): Dibbs acts solely as an e-marketplace operator under Republic Act No. 11967 (Internet Transactions Act of 2023). Dibbs does not provide underlying cleaning, maintenance, dining, venue, or freelance services directly, nor does Dibbs employ or direct any Service Provider. Every service contract or venue reservation forms a direct contractual relationship solely between the Seeker and the Provider.

4. Provider Verification & Subcontracting

  • Tiered Onboarding: Individual freelancers must supply a valid Government ID and pass identity verification. Verified Business Merchants must submit BIR Form 2303, DTI/SEC registration, and Mayor's Permits.
  • Subcontracting & Assistants: Service Providers and Merchants are permitted to utilize assistants, employees, or subcontractors to perform services or manage bookings. However, the verified account holder remains fully, strictly, and vicariously liable for all acts, omissions, property damage, misconduct, or non-performance caused by their representatives or subcontractors.

5. Financial Model, Commission Fees & Payments

  • Free Access for Service Seekers: Accessing, browsing, and booking services, venue slots, or dining reservations through the Dibbs App is completely free of charge for Service Seekers. Dibbs charges zero booking fees to Seekers.
  • Provider Platform Commission: In consideration for marketplace facilitation, Service Providers and Merchants agree to pay Dibbs Technologies Inc. a platform commission fee per confirmed or completed transaction. For a booking associated with a venue, an administrator-set venue percentage takes precedence over the Provider or Merchant account rate and the Platform default. If a venue has no custom rate, the account rate or Platform default applies. A platform-wide flat fee may also be charged once per booking. Effective rates, their source, flat fees, and billing schedules are shown in the Provider Account Dashboard. All commission fees charged to Providers are inclusive of twelve percent (12%) Value-Added Tax (VAT).
  • Commission Calculation & Changes: Commission is calculated on the full booking subtotal before vouchers, Coins, or other discounts. The effective percentage and flat fee are recorded when the booking is created. Later changes apply only to future bookings; they do not alter an existing booking's commission, settlement, cancellation treatment, VAT, or receipt. The booking's recorded commission amount and terms govern its historical financial record.
  • Direct Customer Settlement: The entire service, venue rental, or dining charge is settled directly between the Seeker and the Provider at the booked service location (the venue or the Seeker's address for a home visit) via cash, direct e-wallet (GCash/Maya), or credit/debit card transfer.
  • Security Deposits: Dibbs does not collect, hold, process, or manage security deposits. Any security deposit required by a venue or rental provider must be arranged independently off-platform between Seeker and Provider. Dibbs bears zero liability regarding security deposit disputes, non-refunds, or damage claims.
  • Off-Platform Circumvention: Providers and Seekers are strictly prohibited from soliciting or using the platform solely to establish contact and then intentionally bypassing platform commission reporting. Off-platform circumvention constitutes grounds for immediate account suspension and liquidated damages.
  • BIR Tax Compliance (RR 16-2023): Because customer payments are settled directly with the Provider at the booked service location, Dibbs does not handle gross customer funds or withhold tax on direct transactions. If Dibbs collects customer funds in-app in future updates, withholding tax under BIR RR 16-2023 will apply to gross provider payouts exceeding statutory thresholds. Merchants designated as Top Withholding Agents may withhold statutory CWT when settling Dibbs commission invoices with a valid BIR Form 2307.
  • Feature Availability & Paid Plans: The features and tools available on the Platform may change over time. Dibbs may add, modify, limit, suspend, or discontinue features, and may make certain features (such as Merchant booking-management tools, analytics, and reporting) available only under a paid subscription or plan. Where a feature that was previously available at no additional charge is moved to a paid plan, Dibbs will give advance notice through the Platform before the change takes effect. Access for Providers and Merchants to their account, wallet balance, earnings, payouts, and existing bookings will not be conditioned on any paid subscription.

6. Coins & Rewards Program

Dibbs may offer a loyalty rewards program in which Service Seekers earn "Coins" for qualifying activity such as completed bookings and may redeem Coins as a discount on future bookings.

  • No Cash Value: Coins are a promotional loyalty benefit only. They have no cash value, are not legal tender, are not a stored-value or e-money instrument, and cannot be purchased, sold, transferred, exchanged for cash, or withdrawn.
  • Earning & Redemption: The rate at which Coins are earned and redeemed, and any minimums or caps, are set by Dibbs and shown in the app. Coins are typically applied as a peso-equivalent discount at checkout on eligible bookings.
  • Expiry & Forfeiture: Coins expire after the period stated in the app and are forfeited upon expiry. Coins may also be forfeited in connection with cancelled, no-show, or incomplete bookings, where an account is suspended or terminated, or where fraud or abuse is suspected.
  • Program Changes: Dibbs may modify, suspend, or discontinue the rewards program, or adjust earning and redemption rates and Coin balances, at any time, including to correct errors or address abuse. Coins earned through fraud, error, or violation of these Terms may be revoked.

7. Vouchers & Promotional Offers

Dibbs or a Merchant may offer vouchers, discount codes, and other promotional offers ("Vouchers") to Service Seekers, shown on a venue page, in Discover, or at checkout.

  • No Cash Value: Vouchers are a promotional discount only. They have no cash value, are not legal tender, are not a stored-value or e-money instrument, and cannot be purchased, sold, transferred, exchanged for cash, or withdrawn.
  • Offer Conditions: Each Voucher is subject to the conditions shown on the offer in the app, which may include a validity period, eligible days and times, eligible services or service types, a minimum spend, a maximum discount, limits on the number of uses per customer or in total, first-booking eligibility, and availability while supplies last. A Voucher applies only if every condition is met at the time of booking. These conditions form part of these Terms.
  • Using a Voucher: One Voucher may be applied to a booking. A Voucher may be used together with Coins, but the combined discount will never exceed the price of the booking. The discounted price is settled directly with the Provider as described in Section 5.
  • Cancelled & No-Show Bookings: If a booking that used a Voucher is cancelled, the Voucher is returned to you, subject to its validity period and availability. A Voucher used on a booking that is marked as a no-show is treated as used and is not returned.
  • Changes & Misuse: Dibbs or the issuing Merchant may modify, suspend, or withdraw a Voucher at any time for future bookings. Dibbs may void a Voucher, or reverse a discount, that was obtained or used through fraud, error, duplicate accounts, or a breach of these Terms.

8. User-Generated Content, Marketing & Reviews

  • Marketing License: By uploading photos, menus, venue images, logos, profile assets, or service descriptions to the Platform, Users grant Dibbs Technologies Inc. a perpetual, worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, display, and distribute such media for platform marketing, advertising, and promotional campaigns across digital and print channels.
  • Review Moderation & Removal: Dibbs reserves the full right to edit, redact, hide, or permanently remove user reviews or feedback that contain profanity, offensive language, contact details, advertising, competitor solicitation, extortion, or fraudulent claims.

9. Absolute Liability Disclaimer

  • Provider Liability: Service Providers and Merchants bear sole and primary legal and financial liability for any personal injury, property damage, financial loss, theft, venue damage, or unsatisfactory service quality resulting from bookings made through Dibbs.
  • Platform Exemption: Dibbs Technologies Inc. provides no internal "damage protection guarantee" or insurance coverage. Dibbs shall not be held liable for any indirect, incidental, punitive, or consequential damages arising from user interactions, service delivery, or platform outages.

10. Changes to these Terms

Dibbs may update these Terms, its pricing, or its subscription plans from time to time. Material changes will be notified through the Platform, and users may be prompted to review and accept the updated Terms before continuing to use the Platform. Continued use of the Platform after the effective date constitutes acceptance of the changes. If you do not agree to a change, you must stop accessing and using the Platform.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of the Philippines. Any judicial actions arising from or relating to this Agreement shall be brought exclusively before the competent courts of Quezon City, Metro Manila, Philippines.
